How a non-confidential deck differs from a general pitch deck

A general startup deck goes to a chosen reader. A non-confidential deck is written on the assumption that anyone may read it, including competitors, because it will be forwarded. Its goal is a confidentiality agreement, not an investment decision. Every fact on it must be public or cleared for release, so the craft is choosing headlines that show quality without revealing structures, targets or unpublished data. Pharma business development readers screen many of these, so stage, modality and ask must be clear within the first few slides.

The questions behind every slide

What readers of a non-confidential deck ask

Each answer names the slide or document where it belongs. If a question has no home in your deck, the reader will ask it in writing, or stop reading.

  • Unpublished data is reduced to headlines your counsel has approved.
  • The file name and footer say Non-confidential.

Terms used in a non-confidential deck

Confidential disclosure agreement (CDA)
A contract signed before sharing private data, limiting how the receiver may use and share it.
Non-confidential summary
A one- or two-page overview of an asset or company that can be forwarded freely.
Search and evaluation
The team at a pharma company that screens outside assets and companies for licensing or acquisition.
Data room
A secure online folder where confidential documents are shared in stages during diligence.
Term sheet
A non-binding outline of the main deal terms, agreed before the full contract is drafted.
Modality
The type of therapy, such as small molecule, antibody, cell therapy or gene therapy.
